1.0 Introduction

(referred to in these Terms of Service as "TE Academy” or "we” and through similar words such as "us,” “our,” etc.). By accessing any part of the Service, you are agreeing to the terms and conditions described below ("Terms and Conditions”), and any other legal notices published by us on the Service (collectively, the "Governing Documents”). If you do not agree to any of these terms, you should not use the Service. These Terms of Service apply to all Students, including both Students who are simply viewing content available via the Service and Students who have registered as students of TE Academy.

1.1 Existing contract
These Terms and Conditions constitute a valid contract concluded between the TE Academy and the Student. The use of any Service on the Platform is subject to acceptance of these Terms and Conditions in their entirety.
We urge you to read these terms and conditions carefully before agreeing to them. By accepting these terms and conditions, the Student warrants that he/she has read and fully understood these terms and conditions.
A valid contract shall be deemed to have been concluded at the moment when the Student confirms his/ her acceptance of the Terms and Conditions during the registration process.
1.2 Definitions
This section sets out the definitions used within the Platform.
Student is a physical person registered on the Platform.
Platform is the TE Academy webpage and all services available via the platform, accessible via tokenengineering.net
TE Fundamentals is an online educational course provided and operated by TE Academy.
NFT certificate is a proof-of-knowledge for successfully passingthe exam in any TE Academy course offering.
Wallet is a blockchain wallet, such as an Ethereum wallet that can hold an NFT certificate.
Discord channel is a channel at the TE Academy Discord server, made for students, mentors and partners to communicate, study and share documents.
Study Group is a learning format for students, hosted by independent local hosts. Goal is to meet, study and prepare for the exams with other TE Academy students.
Content includes the learning content of any TE Academy course, and any other content published on the TE Academy Platform.
2.0 Platform
The Platform is an educational Platform focusing on providing knowledge and trainings in the field of token engineering.
2.1 Use of the Platform
Use of the Platform is restricted to individuals who are of legal age. The age of majority of an individual is determined by the country of origin of the individual. In no event may individuals under the age of 18 use the Platform. If you use the Platform, you declare, under criminal and civil liability, that you are over 18 years of age and that you have reached the age of majority in your own country.
In the event that the TE Academy discovers that any Student is under 18 years of age, the TE Academy reserves the right to immediately close such account in the manner set out these Terms and Conditions. The same shall apply to Students who are not of legal age.
2.2 Services
The Platform offers several services focusing on education and sharing knowledge in the field of token engineering.

2.3 Registration
In order to use the Platform, it is mandatory to create a Student Account as defined in this section of the Terms and Conditions.
The Student shall be held liable for his account and everything that might emanate from his account, including any damage caused by you and/or someone else who was using your account with and/or without your permission and/or knowledge.
The Student shall be responsible for any damage caused due to the misuse of password (such as insufficient security of the password, weak password, etc).
The Student shall be obligated to notify TE Academy upon any unauthorised access to the Student Account as soon as the Student learned about such access.
The Student shall be entitled to register the Student Account if the Student has reached the legal age as set in his country.
Quick recap: You are responsible for your Student Account. Make sure to keep the password safe and do not share your password with others. TE Academy reserves the right to delete any Student Account violating these rules.
2.3.1 Registration process
The Student shall create his/her Student Account by registering on the TE Academy's website. During the registration process, the Student creates a username and password. For a successful registration, the Student is obliged to provide certain personal data, namely: username (optional), valid e-mail address, and a password.
The Student Account can include a user name. The Student creates the username and is free to choose the username. In order to protect the dignity of other Students of the Platform, the Student is obliged to refrain from the following:
The TE Academy reserves the right to warn the Student, whose chosen username meets any of the above conditions, to change the username and to set a deadline for the Student to change the username. If the Student does not change the username within the specified time limit, the TE Academy shall have the right to freeze or terminate the Student's account in accordance with these Terms and Conditions.
Students set their own password when registering. The password must contain certain characters and be of a length defined during the registration process.
Student has an option to register via Google, Github and/or Discord. Please note that when using these accounts to register on the Platform TE Academy processes certain data in order to be able to identify you and create the account. You can read more on personal data processing in our privacy policy.
The Student wishing to use the Platform is obliged to register for a Student Account and expressly confirms that he/she has provided true and correct information at the time of registration, including confirmation that the minimum age requirement is met. The Student expressly agrees that he/she is solely responsible for maintaining the confidentiality and security of his/her email addressand password and is liable for any acts and/or omissions that occur during the use or activity of the Student Account. The Student Account shall be deemed to be active until it is deleted by the TE Academy at the Student's request or due to the fulfilment of the conditions for deletion under these Terms and Conditions. The Student is obliged to immediately notify the TE Academy of any unauthorised use of the Student's account, Student name or password.
The TE Academy shall not be liable for any damage, whether direct, indirect, incidental or consequential, which the Student may suffer as a result of unauthorised access to, consultation of or interference with his/her Student Account, whether caused by the Student's misconduct or by the intrusion of third parties.
Quick recap: You are responsible to set the username in accordance with our rules and set a strong password to keep your account secure. Please note that when using other accounts for registration process, certain personal data shall be processed.
2.3.2 Log in
After registration, the Student logs in with his/her email and password to access the Platform. The Student who has signed in may access the Platform within the scope he/she has chosen at the registration process.
The Student gains access to Student profile where a Student can add a username and additional information as provided in profile settings. Additionally, a Student shall have the option to provide a short personal description and social media accounts for the Student’s profile.
The Student shall provide a wallet address in order to be able to receive an NFT certification for enrolled (and successfully completed) courses.
The Student shall have the option to share the public URL of the Student’s profile. The Student acknowledges that the public URL shall be visible to anyone.
Adding a digital wallet is mandatory for obtaining NFT certification. The Student shall be obligated to ensure that the digital wallet is based on Ethereum token standards..
The Student express confirms and understands that:
TE Academy shall not be responsible for any damage (direct, indirect, consequential and/or any other kind of damage) in the event of any unauthorised access to Student’s digital wallet. The Student bears the risk of any unauthorised access to the digital wallet notwithstanding whether the unauthorised access was executed through the Platform. TE Academy shall not be obligated to provide any additional certification and shall not ensure certification replacement in case of loss of access to the certificate and/or destruction of the certificate in any way notwithstanding whether the certificate destruction was wilful or negligent and or whether it was caused by a Student or a third party.
Quick recap: You are responsible to for your digital wallet. Make sure that the digital wallet is compatible with TE Academy's requirements and that you've inserted accurate information. After adding your wallet address to your (connecting your) Student profile (with your digital wallet) you shall NOT be able to change the wallet nor shall you be able to transfer your NFT certificate to another wallet. Your certificates are ACCOUNT-BOUND.
You are responsible for any damage that might emanate from connecting your wallet to the Student profile and are doing so willingly. TE Academy shall not provide certificate replacement and/or recovery.
2.3.3 Support
Technical support is available to the Student and can be contacted within the Platform. The Student may also contact the TE Academy via this contact form.
3.0 Rules of Use of the Platform
The Student expressly agrees to use the Platform in accordance with its purpose and not to misuse the Platform for activities that do not fall within its purpose.
The Platform is intended to offer educational content and additional functionalities as defined within this Terms and Conditions.
The Student shall be obligated to fully respect Code of conduct and privacy policy as set by TE Academy. By agreeing to these T&C the Student confirms to adhere to the Code of Conduct set by TE Academy.
3.1 Usage of Services
The Student shall be entitled to use the Services for lawful purposes and acknowledges to use the Platform in accordance with applicable laws and regulations and regulations established by TE Academy. The Student is solely responsible for the knowledge of and compliance with such laws and regulations that are applicable to you.

3.2 Content and licensing
When using our Services the Student receives access to the Content based on a license from TE Academy to view and (when possible) interact with Services (such as solving examination questions).
TE Academy grants the Student a limited, non-exclusive, non-transferable license to access and view the content, solely for your personal, non-commercial, educational purposes through the Services, in accordance with these Terms and any conditions or restrictions associated with the particular content or feature of our Services. All other uses are expressly prohibited. You may not reproduce, redistribute, transmit, assign, sell, broadcast, rent, share, lend, modify, adapt, edit, create derivative works of, sublicense, or otherwise transfer or use any content unless we give you explicit permission to do so in a written agreement signed by a TE Academy authorised representative.
TE Academy reserves the right to revoke the abovementioned license, should TE Academy decide to remove and or disable certain Services and/or Content.
Quick recap: The Content is licensed to the Student and the license does not provide any right to sell, resell, change, adapt and/or alterate or use in any other way. You are allowed to use the Services for educational purposes.
3.3 Student content
As a Student you may create Student content while using our Services. By submitting or posting content on or through the Services, you grant us a worldwide, non-exclusive, royalty-free license (with the right to sublicense) to use, copy, reproduce, process, adapt, modify, publish, transmit, display, and distribute your content (including your name and image) in any and all media or distribution methods (existing now or later developed). This includes using your content for marketing purposes. TE Academy shall be entitled to use Student content for non-commercial and also for commercial purposes without any limitation within the scope of TE Academy. TE Academy shall be able to use Student content for its own purposes without providing additional information to the Student. By publishing Student content via the Services a Student agrees to granting TE Academy the above specified license.
You also waive any rights of privacy, publicity, or other rights of a similar nature applicable to all these uses, to the extent permissible under applicable law. You represent and warrant that you have all the rights, power, and authority necessary to authorise us to use any content that you submit. You also agree to all such uses of your content with no compensation paid to you.
Quick recap: The content you create while using out Services is yours, however we reserve the right to use this content for marketing purposes and raising awareness of our Platform. TE Academy may use Student content for additional commercial and/or non-commercial purposes within the scope of TE Academy.
3.4 Sanctions
Any breach of our T&C shall be sanctioned. TE Academy shall notify each Student about the breach and provide information on consequences of the breach. TE Academy reserves the right to temporarily suspend access and/or restrict or terminate your Student Account in whole to the Services due to the policy violation. TE Academy shall determine the scope and duration of such suspension in its own discretion.
Students expressly agrees that TE Academy shall not be held liable for any consequences in regard with removal of Student content, suspension and/termination of the Student's Account.
Should a breach of the policies cause any damage to TE Academy, TE Academy reserves a right to start any judicial procedure necessary in order to protect its rights and claim damages.
TE Academy reserves the right to terminate and deactivate the Student's account immediately and without prior warning if it determines that the Student has not reached the age of majority under the law of the country of his/her origin.
In the event of freezing and/or cancellation of the Student's account, the Student shall not be entitled to reimbursement for any damages caused to him/her as a result of the restriction of the use of the Student Account.

3.5 Security and reliability of the Platform
The Platform is available to Students 24 hours a day, 7 days a week. Exceptionally, the Platform is unavailable when maintenance work is being carried out or when unforeseen events occur that would cause the Platform to be unavailable.
TE Academy shall use its best endeavours to ensure the security of the Platform, but does not guarantee the security of Student accounts and data stored on the Platform. The Platform is provided on the "as is" basis.
TE Academy does not guarantee the constant operation of the Platform. The operation of the Platform may be subject to interruptions, errors and other undesired situations which may temporarily limit or prevent access to the Platform. TE Academy shall use its best endeavours to rectify any defects as quickly as possible, but does not guarantee that such defects will be rectified within any specified time period.
TE Academy shall not be liable for any damages, direct or indirect, including incidental damages, suffered by the Student as a result of the temporary unavailability, inoperability or malfunction of the Platform.

4.0 Education process and certification
TE Academy provides educational content engaging third party instructors to execute the Services. TE Academy does not review and/or edit such Content provided by third party instructors executing the Services.
TE Academy does not guarantee that the Content is appropriate, accurate, trustworthy and/or reliable. By using our Services the Student bears the risk of using such Content and/or relying on information provided therein.
TE Academy shall not be responsible for any damage, disputes and/or claims between Students and thrid party instructors providing Services on our Platform. Te Academy shall not be held liable for disputes, claims, losses, injuries, or damage of any kind that might arise out of or relate to the conduct of instructors or students.
TE Academy shall issue a certification for online course via an NFT. Please make sure your course is eligible for NFT certification before enrolling. Student expressly acknowledges he fully understand the conditions necessary to gain the NFT certificate and fully understand the nature of such certificate. The Student acknowledges that NFT can be “burned“ and destroyed and acknowledges that TE Academy shall not provide any recovery of destroyed NFT certificate. Additionally, TE Academy shall not issue additional NFT certificates in case of loss of access to digital wallet and/or NFT certificate. TE Academy shall ensure issuance of the NFT but shall not be held responsible for any action or omission of Student in regard with the received NFT.
Student expressly confirms that issuing a NFT certificate might not be implemented during the BETA version of the Platform. TE Academy reserves the right to postpone NFT certification. TE Academy shall ensure that examination results are safely stored and provide options to claim NFT certificates after the full implementation.
This Platform does not operate as part of educational programs organised on a state level. Students are informed that certification, provided at the completion of an online course, may not be suitable for certain organisations.
Student expressly confirms that each NFT certificate adopted via TE Academy has an expiration date. Student understands that after the expiration period the certificate shall no longer be valid.

5.0 Payable services
Here you can find information on our payable services, which are offered on our Platform.
5.1. Certification
If you are using our online courses, you are eligible for certification, which means that after successfully finishing your online course, you shall be able to receive a minted NFT certificate, that is confirming your skills in token engineering. If you choose to get a certificate, our Platform will redirect you to a payment processing webpage on which you can safely proceed with payment.
Each Student is eligible for Certification solely upon successfully passing an online exam
The price for each certificate shall be presented and communicated before the Student starts the online course.
It is considered that a valid Contract is concluded when Student agrees with the terms and conditions, makes payment and is eligible for Certification. Conditions for eligibility differ from each online course and shall be provided at the enrollment process.
Certificate is given in form of a minted NFT. TE Academy reserves the right to modification of the certification.
Certification shall be provided to the Student in a digital form and shall be considered as a digital content. TE Academy shall provide Certification without undue delay after the conclusion of the contract.
Student, eligible for Certification, shall gain instructions on minting NFT certification. Student is obligated to ensure access to appropriate software in order to be able to mint NFT. TE Academy has provided instruction on necessary steps in order to provide support to gain Certification.
The Student shall be informed that this is a digital content contract, provided for eligible Students. Each Certification is unique and as such personalized for each Student. Therefore the Student shall not be entitled to withdraw from the concluded Agreement.
5.2. Payment options and access
TE Academy offers paying options via credit card. Payment processes shall be conducted with external payment service provider.
Students, that are considered consumers as defined within relevant legislation, shall be informed that withdrawal from the contract is not available in NFT Certification. Each NFT certificate shall be minted expressly for specific Student and is thus considered personalized item.
5.3. Withdrawal from the contract
Regarding certification
The Student shall be informed that this is a digital content contract, provided for eligible Students. Each Certification is unique and as such personalized for each Student. Therefore, the Student shall not be entitled to withdraw from the concluded Agreement in accordance with relevant consumer protection laws.
In the event the contract is concluded with a legal person, withdrawal from such contractual relationship shall not be possible. The consumer protection laws are not applicable to this type of contractual relationships.
5.4 Promotions
TE Academy retains the right to provide promotions and other exclusive offers including trial periods (hereinafter altogether promotions). TE Academy shall provide all necessary information before execution of each promotion. This includes any information on costs, special requirements and/or free trial periods. TE Academy shall solely decide when and whether a promotion shall be offered. Nothing in these Terms and Conditions shall be construed as any obligation to execute a promotion.
Each promotion shall be valid under conditions presented by TE Academy and shall expire as defined by TE Academy.
6.0 Limitations of liability
Subject to the limitations of liability set out in these Terms and Conditions, TE Academy further clarifies as follows below.
If you choose to use the Platform, you agree that you do so voluntarily and assume all risks. Use of the Platform is at your own risk and the Platform is provided "as is" without warranty of any kind, either expressed or implied. All limitations of liability set out in this section or anywhere in these Terms and Conditions shall apply to the fullest extent permitted by law.
TE Academy does not warrant the operation of the Platform, nor does it warrant that the Platform will be error-free, free of viruses or any virus-like malware. Nor does TE Academy warrant that the information published on the Website is accurate and complete. TE Academy shall not be liable for any damages whatsoever, including but not limited to: direct, indirect or consequential damages that may arise or result from the use of the Platform.
TE Academy shall use its best endeavours to provide effective advice and explanations, but shall in no event guarantee the results for the Students. All functionalities and information provided by the Platform are for information purposes only. TE Academy makes no guarantee or warranty that the Student will achieve any particular results by using the Platform. The Student is solely and entirely responsible for the results achieved by using the Platform, and the Student is obliged to take into account his/her level of knowledge of the topic.
To the extent permitted by law, TE Academy shall not be liable for any indirect, incidental, punitive, or consequential damages (including loss of data, revenue, profits, or business opportunities, or personal injury or death), whether arising in contract, warranty, tort, product liability, or otherwise, and even if we’ve been advised of the possibility of damages in advance. Our liability to you or any third parties under any circumstance is limited to the greater of one €500,00 or the amount you have paid us in the twelve (12) months before the event giving rise to your claims. Some jurisdictions don’t allow the exclusion or limitation of liability for consequential or incidental damages, so some of the above may not apply to you.
The Student expressly confirms that NFT is a digital form of certification which is inextricably connected with risks such as: losing the access to the User Account, failure of technology, termination of service provider and regulation risks. The Student understands and expressly confirms that those risks may cause loss and/or substantial harm to the certificate bought. TE Academy shall act in its best efforts to ensure the validity of the NFT certificates, however TE Academy shall not be held responsible for any loss and/or harm to the NFT certificate. The same applies for minting the NFT certificate. The Student understands that, while the Student is free to mint the certificate whenever (after the purchase), such minting might be impossible due to abovementioned risks. The Student expressly confirms that such risk shall be borne completely by the Student.
TE Academy shall bear no responsibility in the event of "burning an NFT certificate”. Student expressly warrants that he/she fully understands how NFT works and that burning NFT means destroying such NFT without any chance of retrieving such certificate. TE Academy shall not be held responsible to provide additional certification and/or any refunds. Student shall bear all consequences and/or damages that might arise from “burning” NFT certificate.
Additionally, TE Academy shall bear no responsibility in the event of losing access to NFT Certificate that was already minted.
Students expressly warrants and fully understands that NFT certificate is a digital content and that Student shall make sure to ensure and maintain all necessary obligations in order to gain access to NFT Certificate.
TE Academy shall not be held liable for any refunds and or additional issuance of NFT Certification due to losing access and/or “burning” NFT Certification.
Quick recap: Using our Platform may be connected with some risks, which shall be borne by you, exclusively. TE Academy limits its liability towards any damages that might occur due to the usage of the Platform.
7.0 Intellectual property protection
By using the Platform, the Student does not acquire any copyright, proprietary rights or intellectual property rights in the Platform. The Platform and its functionalities are the exclusive property of TE Academy, which may dispose of them without restriction. TE Academy is also the exclusive owner and holder of all distinctive signs and other intellectual property rights used in the context of the Platform's operation. Student may use the Platform only within the framework online course chosen by the Student, and the use of the Platform shall in no case grant the TE Academy any intellectual property rights or copyrights over the Platform and/or the distinctive signs used by the TE Academy. Nothing in these Terms and Conditions shall be interpreted in such a way as to confer on the TE Academy any right, whether proprietary, intellectual or copyright, over the Platform and the related distinctive signs used by TE Academy.

8.0 Data protection
The use of the Platform inevitably involves the processing of personal data. You can read how personal data is processed in our privacy policy.
9.0 Using the website
TE Academy is the owner and TE Academy of the tokenengineeing.net website and is the sole owner of the website and all materials (regardless of format) contained on the website. The website is provided "as is" and the TE Academy shall not be liable for any damages that may arise from the use and/or non-operation of the website.
All content on the website with subdomains is for information purposes only and does not constitute any obligation on the part of the TE Academy.
9.0 Final provisions
Contract concluded. These Terms and Conditions, together with the order of services made through the TE Academy's website and all subpages of this website, shall have the nature of a contract concluded between the TE Academy and the Student.
Independence of Provisions. Should any provision of these Terms and Conditions (in whole or in part) be found to be unlawful, void or otherwise invalid, such provision shall be deemed to have been deleted (in whole or in part) and the remainder of these Terms and Conditions shall remain in full force and effect.
Full business capacity. The Student warrants that he/she has full capacity to assume the rights and obligations arising from these Terms and Conditions. You warrant that you do not require the consent or approval of any third party to perform your obligations under these Terms and Conditions or, to the extent that such approval is required, that you have such approval.
Awareness of the Terms and Conditions. The Student warrants that he/she has read and is fully aware of these Terms and Conditions before accepting them.
The law of the agreement. These Terms and Conditions shall be governed by the law of the Federal Republic of Germany.
Dispute resolution. The Parties shall resolve any disputes amicably. If this is not possible, the courts of the Federal Republic of Germany shall have jurisdiction in all disputes arising out of these Terms and Conditions.
Force majeure. The TE Academy shall not be liable for any damages arising as a result of force majeure. Force majeure shall be deemed to be any event which is unforeseeable and beyond the control of the TE Academy. Force majeure includes, but is not limited to: natural disasters, war and states of emergency, power failures, strikes, epidemcis and other outbreaks etc. The TE Academy shall immediately notify the Student of the event and give an indicative time limit for remedying the consequences of the force majeure.
Changes to the terms and conditions. You have no right to modify or waive, in whole or in part, any provisions of these Terms and Conditions. The TE Academy has the right to change these Terms and Conditions at any time. Any amendment will be published on the TE Academy's website. You will be deemed to have accepted any changes if you continue to use the Platform despite the changes coming into effect. If you do not agree to the changes, you have the right to withdraw.
The entire agreement. These Terms and Conditions constitute the entire agreement in force between the Parties. Any prior agreements or negotiations, whether written or oral, are superseded in their entirety by these terms and conditions.
Language versions. These General Terms and Conditions are drafted in the English language. Any version of these General Terms and Conditions in another language is created in order to offer easier access to these Terms and Conditions. The Student agrees and fully understands that in the event of any dispute, the English version shall prevail.
Meaning of terms. All capitalised terms used in these Terms shall have the meaning as defined at the top of these General Terms.

1. Existing contract
1.1
These Terms and Conditions constitute a valid contract (hereinafter also referred to as “Contract”) concluded between the TE Academy and the Student. The use of any Service on the Platform is subject to acceptance of these Terms and Conditions in their entirety.

We urge you to read these Terms and Conditions carefully before agreeing to them. By accepting these Terms and Conditions, the Student warrants that he/she has read and fully understood these Terms and Conditions.
1.3
A valid agreement shall be deemed to have been concluded at the moment when the Student confirms his/her acceptance of the Terms and Conditions, including the Governing Documents as defined below.
1.4
Please note that the Study Season Program is explicitly limited to physical persons and cannot be used for legal entities or their representatives. By agreeing to these Terms and Conditions each Student warrants that he/she is entering this agreement as a physical person.
1.5
Should a legal person or their representative conclude such agreement, it shall be immediately deemed null and void. Legal persons and their representatives shall not be able to join Study Season Program.
2. Definitions
This section sets out the definitions used within the Platform. All other terms have the same meaning as defined in the General Terms and Conditions and/or other Governing Documents.
2.1
Fellowship candidate is a physical person, who applied for the fellowship award, and has created and executed a training program as part of the Study Season Program.
2.2
The Study Season Program is a series of online study sessions and training programs based on predetermined topics, intended for TE Academy Students.
2.3
TE Academy is an online educational platform focusing on token engineering.
2.4
Student is a physical person registered on the Platform.
2.5
Tender Dossier represents any documentation (electronic or physical) that TE Academy provides in the course of the Study Season Program.
3. Study Season
3.1
Study Season is a program from TE Academy aimed at basic scientific research including exploring fundamental principles, theoretical aspects and phenomena in the field of token engineering. Study Season Program consists of individual lectures (study sessions), which aim to give Students additional knowledge about token engineering with a chance of acquiring exclusive NFT certificates for their achievements.
3.2 Registration
3.2.1
Participation in Study Season requires a TE Academy account and a registration on the Platform. After the registration has been completed, a Student shall be able to fill out the registration form for the Study Season Program.
3.2.2
TE Academy shall consider a registration to Study Season Program as valid if all fields of the registration form have been fulfilled with accurate information. TE Academy reserves the right to request additional information from an applicant should the registration form contain information that might not be considered as accurate (such as invalid email address, invalid city information etc). Students that shall not provide accurate registration shall be excluded from participating the Study Season Program.
Once the Students are registered to the Study Season, they can attend all of the study sessions in the Study Season.
3.2.3
Students will be informed about all the details regarding study sessions, news, events, and other relevant information via TE Academy communication channels.
3.3 Participation and attendance
3.3.1
All Students, who shall register for Study Season Program, will receive an Attendance NFT free of charge throughout the duration of this Study season Program.
3.3.2
Additionally, the Students, registered for the Study Season, shall be able to acquire additional NFTs based on passing requirements defined for the particular study session. These proof of knowledge NFTs shall be free of charge throughout the duration of this Study Season Program.
3.3.3
For further information on NFTs please see our General Terms and conditions other Governing Documents, in a tender dossier and/or any publications on our website.
3.4 Voting
3.4.1
Students shall have the option to vote for the best lecturer in the Study Season. Additional information on voting shall be defined in a Tender Dossier, issued by TE Academy.
4. Students
4.1
The Study Season Program is reserved for TE Academy Students, who have completed the registration on TE Academy Platform and registered for the Study Season Program via the registration form accessible on the TE Academy website.
4.2
Attending the Study Season is restricted to individuals who are of legal age. The age of majority of an individual is determined by the country of origin of the individual. In no event may individuals under the age of 18 attend the Study Season.
4.3
In the event that the TE Academy discovers that any Student is under 18 years of age, the TE Academy reserves the right to immediately close such account. The same shall apply to Students who are not of legal age.
4.4
Attending the Study season is restricted to physical persons that are not acting in a legal capacity as defined in this Terms and conditions.
4.5
Students declare under civil and criminal liability, that all data provided in the registration forms is true.
4.6
Students acknowledge and consent that TE Academy shall collect and process the personal data provided in accordance with its Privacy Policy.
4.7
For taking part in any of TE Academy’s programs a Student shall be obligated to act in accordance with Contract, General Terms and Conditions, Code of Codnuct, other Governing Documents and Tender Dossier.
4.8
If a Student fails to comply with obligations in this Contract, TE Academy reserves the right to ban such a Student from the Study Season program and any further TE Academy programs and to terminate their Student account, unless needed to be kept in accordance with law or for reasons of proving a claim.
4.9
Students shall not make unauthorized recordings of the study sessions, distribute them or in any other way breach provisions of intellectual property law.
4.10
In cases described in the previous paragraph, the Student will be liable in accordance with relevant legislation.
5. Warranties

6.1
This Contract commences on the date the Student agrees to the Terms and Conditions.
6.2
The Student is obligated to agree with the Terms and Conditions in full and is not entitled to alter the Terms and Conditions. Any alterations are possible solely by conclusion of separate Contract between the TE Academy and the Student.

The Contract shall stay in effect until both of the following occurrences at which point the Contract shall end:

7.1
Severability. If any one or more of the provisions contained in this Contract is, for any reason, held to be invalid, illegal, or unenforceable in any respect, that invalidity, illegality, or unenforceability will not affect any other provisions of this Contract, but this Contract will be construed as if those invalid, illegal, or unenforceable provisions had never been contained in it, unless the deletion of those provisions would result in such a material change so as to cause completion of the transactions contemplated by this Contract to be unreasonable.
7.2
Force majeure. The TE Academy shall not be liable for any damages arising as a result of force majeure. Force majeure shall be deemed to be any event which is unforeseeable and beyond the control of the TE Academy. Force majeure includes, but is not limited to: natural disasters, war and states of emergency, power failures, strikes, epidemics and other outbreaks etc. The TE Academy shall immediately notify the Student of the event and give an indicative time limit for remedying the consequences of the force majeure.
7.3
Valid registration. TE Academy shall consider as invalid all registrations where the city stated on the registration form shall be in Russia. Students stating they are positioned in Russia shall be excluded from participating in the Study Season Program.
7.4
Legislation. This Contract shall be governed by Laws of Federal Republic of Germany.
7.5
The Contracting Parties hereby agree to settle any disputes arising out of or in connection with this Contract amicably. In the event an amicable resolution of the dispute is unsuccessful the disputes are to be settled by a competent court of Federal Republic of Germany.
7.6
This Contract supersedes any and all other Contracts, oral or written, between the Parties with respect to the subject matter hereof, and no agreement, statement, or promise relating to the subject matter of this Contract other than that which is contained herein shall be binding upon the Parties.
7.7
General Terms and Conditions, Privacy Policy, Code of Conduct and any other applicable Governing Documents and these Terms and Conditions create an irrevocable whole - Contract between the Parties.
7.8
Changes to the terms and conditions. You have no right to modify or waive, in whole or in part, any provisions of these Terms and Conditions. The TE Academy has the right to change these Terms and Conditions at any time. Any amendment will be published on the TE Academy's website. You will be deemed to have accepted any changes if you continue to use the Platform despite the changes coming into effect. If you do not agree to the changes, you have the right to withdraw.
7.9
All or any of TE Academy’s rights and obligations under the Contract may be assigned to a subsequent owner or operator of the Service in a merger, acquisition or sale of all or substantially all of TE Academy’s assets. The Student must not assign or transfer the Contract or any or all of its rights thereunder. This Contract will be binding on and will inure to the benefit of the legal representatives, successors, and valid assigns of the Parties hereto.
7.10
Full business capacity. The Student warrants that he/she has full capacity to assume the rights and obligations arising from these Terms and Conditions. You warrant that you do not require the consent or approval of any third party to perform your obligations under these Terms and Conditions or, to the extent that such approval is required, that you have such approval.
7.11
By submitting the completed Registration form, Student affirms and acknowledges that he/she has read these Terms and Conditions in their entirety and agrees to be bound by all of its provisions.
7.12
Language versions. These Terms and Conditions are drafted in the English language. Any version of these Terms and Conditions in another language is created in order to offer easier access to these Terms and Conditions. The Student agrees and fully understands that in the event of any dispute, the English version shall prevail.

The TE Academy Fellowship Program is a fellowship program for physical persons who would like to share knowledge in the field of token engineering in accordance with this Terms and Conditions.
2.2
Fellowship Applicant is a physical person, who submits an application to participate in the TE Academy Fellowship Program.
2.3
Fellowship Candidate is a Fellowship Applicant, selected by TE Academy, to run a Training program as submitted in the fellowship application.
2.4
Fellowship Winner is a Fellowship Candidate selected as the winner of the fellowship grant. The fellowship winner is the person who has pass the KYC, issued an invoice and received the cash price.
2.5
Training program is a proposed lecture and/or similar educational content, submitted by Fellowship Applicant via the application form.
2.6
Study Session is a Training program that shall be executed in the Study Season Program by the Fellowship Candidate.
2.7
Tender Dossier represents any documentation (electronic or physical) that TE Academy provides in the course of the Study Season Program.
2.8
TE Academy is an online educational platform focusing on token engineering.
2.9
Student is a physical person registered on the Platform.
3. TE Academy Fellowship Program
3.1
The TE Academy Fellowship Program is a program offered by TE Academy, where we give token engineering researchers and practitioners a chance for sharing their knowledge with Students and competing for a cash prize for the best training program. The training program provided by Fellowship Candidates consists of individual lectures or workshops (Study Sessions), which aim to give Students additional knowledge about token engineering.
3.2 Application process
3.2.1
Fellowship Applicants must fill out an application form, which can be found on our website.
3.2.2
Fellowship Applicants apply via application form by providing details about themselves and the training program they’d like to offer, agree with the Terms and Conditions, Privacy Policy and other Governing Documents from TE Academy, and submit their application.
3.2.3
Fellowship Applicants declare under civil and criminal liability, that all data provided in the registration form is true.
3.2.4
Fellowship Applicants acknowledge that TE Academy shall collect and process the personal data provided in accordance with its Privacy Policy.
3.2.5
Via submitting the application form, Fellowship Applicants agree that in case they are selected as Fellowship Candidates they:

TE Academy can record the Training program and can share it via TE Academy channels for marketing purposes.
3.2.7
TE Academy shall be entitled to use parts and/or whole Training program for further educational content in accordance with the license defined below.
3.2.8
TE Academy can create new online courses based on the Training Program and recordings and offer NFTs as proof of knowledge in accordance with the license defined in IP release.
3.2.9
After the application has been submitted the Fellowship Applicant shall not be entitled to make any changes to the proposed Training program, unless explicitly agreed upon with TE Academy in written form.
3.2.10
If a Fellowship Applicant fails to comply with obligations in this Contract, TE Academy reserves the right to ban such a Fellowship Applicant from the TE Academy Fellowship Program and any further TE Academy programs and to terminate their Student account, unless needed to be kept in accordance with law or for reasons of proving a claim.
3.3 Selection process
3.3.1
TE Academy shall consider each application and select Fellowship Candidates.
3.3.2
Fellowship Candidates are chosen by the TE Academy fellowship committee and in accordance with the selection criteria as defined by TE Academy.
3.3.3
TE Academy will inform the Fellowship Candidates if they were chosen to perform the submitted training program and when and where the training program will take place.
3.4 Voting and Winner selection
3.4.1
After the execution of all selected Study Sessions by Fellowship Candidates, the Students will vote on the winner. Details of voting process shall be defined by TE Academy in the Tender dossier.
3.4.2
Once the votes are in and reviewed for cases of foul play and/or fraud, the Fellowship Winner shall be announced via a publication on our website, by the TE Academy. In case of fraud/misuse of the voting, TE Academy has the right to review and veto the voting.
3.4.3
In the event of fraud and/or misuse identified during the voting (hereinafter also “invalid voting”), TE Academy reserves the right to veto the voting and choose the Fellowship Winner without recognizing the results of the voting. TE Academy shall provide additional information on criteria for choosing the Fellowship Winner in the event of invalid voting.
3.4.4
TE Academy shall provide further instructions regarding the KYC process and payment process via the Tender Dossier.
3.4.5
Fellowship Winner shall be eligible for the cash prize under the conditions defined in the section below.
4. IP release
4.1
Fellowship Applicant shall be free to provide any educational material, as he/she deems necessary in order to run the Study Session. Fellowship Applicant warrants under civil and criminal liability that all the materials used in the Study Session shall be under his/her authorship and/or shall be adopted from other authors under the appropriate license in order to be able to fulfil the conditions in these Terms and Conditions.
4.2
Fellowship Applicant agrees and expressly confirms that he/she shall offer any and all such educational materials under the Creative Commons license (the CC BY type) and thus allowing TE Academy to use such materials in accordance with the abovementioned license terms for its own purposes.
TE Academy is obligated to reference the Fellowship applicant as author with name and social links.
4.3
Fellowship Applicant confirms that running a study program at TE Academy includes recording sessions and making the materials available as a public good to students.
5. Fellowship Candidates
5.1
Fellowship Candidate shall perform the Study Session professionally and in compliance with the Code of Conduct.
5.2
Fellowship Candidate shall perform the Study Session as presented on the application and not change the topic of the lecture.
5.3
Fellowship Candidate shall perform the Study Session personally and cannot outsource the performance of the submitted Training program to a third party.
5.4
Fellowship Candidate is obliged to perform the Study Session on a predetermined date, time, and location by TE Academy (“Time of lecture”).
5.5
If a Fellowship Candidate is unable to perform the Study Session on a predetermined Time of lecture due to justifiable reasons, he/she must inform TE Academy of those reasons at least fifteen (15) days in advance of the Time of lecture.
5.6
If a Fellowship Candidate is unable to perform the Study Session on a predetermined Time of lecture due to unforeseeable circumstances, he/she must inform the TE Academy immediately.
5.7
If performing a Study Session is cancelled by the Fellowship Candidate or TE Academy, the Fellowship candidate is not eligible for the Fellowship grant anymore. Performing of a Study Session is considered cancelled if Fellowship Candidate and TE Academy are not able to determine the date and time of the Study Session.
5.8
Fellowship Candidates have to be available before/after sessions for student questions.
6. Fellowship Winner
6.1
Fellowship Winner shall be eligible for a cash prize under these circumstances:
He/she shall have to pass the KYC process, determined by TE Academy and
He/she shall have to provide payment details and issue an invoice to enable the reward transaction to take place.
6.2
Both abovementioned conditions have to be fulfilled in order to receive the cash prize. Should the Fellowship Winner fail to fulfil any of the conditions, the cash prize shall not be paid. The Fellowship Winner expressly recognizes that he/she is not entitled to any legal claim, regarding the payment of cash prize.
6.3
Fellowship Winner has to fulfil the abovementioned conditions within thirty (30) days, after TE Academy requested such data, in order to receive the cash prize.
6.4
It is the responsibility of the Fellowship Candidate who receives a cash prize under this program to pay any tax liability arising therefrom in accordance with applicable law.
6.5
TE Academy shall be free to determine whether the cash prize shall be paid to the runner-up if the Fellowship Winner fails to pass the conditions.

Each Party to this Contract agrees that it will use all data in relation to this Contract (“Confidential Data“) provided to it (“Recipient”) directly or indirectly by the other Party hereto (“Disclosing Party”) solely for the purpose for which it was provided in accordance with the terms of the Contract and for no other purpose, and that it will hold all Confidential Data in the strictest confidence. To that end, Recipient will not, during or subsequent to the term of this Contract, (i) use the Confidential Data for any purpose whatsoever (for Recipient’s own benefit or the benefit of a third party) other than the performance of the Contract; or (ii) disclose the Confidential Data to any third party. Recipient agrees that all Confidential Data will remain the sole property of the Disclosing Party. Recipient also agrees to take all reasonable precautions to prevent any unauthorized disclosure of such Confidential Data, including, but not limited to, having each of Recipient’s employees and contractors, if any, with access to any Confidential Data execute a nondisclosure agreement; or (iii) abandon due standard of care and therewith enable any person, firm, corporation or other entity to get access to, any Confidential Data that Recipient obtains, accesses or creates during the term of the Contract, whether or not during working hours.
At any time upon the written request of the Disclosing Party, the Recipient will return to Disclosing Party or destroy (at the option of the Disclosing Party) all originals and copies of all documents and information specified by the Disclosing Party.
Any employees or other persons, including independent contractors, who are to be provided Disclosing Party's Confidential Data by Recipient, will be bound by the terms and conditions of the Contract as if they were a party hereto. A breach by any such person will also be considered a breach by the Recipient.
Confidential Data shall not include any information that (i) is or subsequently becomes publicly available or generally known in the relevant industry without Recipient's breach of any obligation owed to Disclosing Party; (ii) was known to Recipient prior to disclosure of any information by Disclosing Party; or (iii) is required to be disclosed by Recipient pursuant to subpoena or court order, provided that Recipient will take all reasonable steps to give Disclosing Party sufficient prior notice to enable it to attempt to avoid such disclosure (if Disclosing Party so decides), and will use all reasonable efforts to cooperate with Disclosing Party in such.

TE Academy provides the matchmaking activities based on Matchmaking Terms & Conditions (hereinafter Matchmaking T&C).
Matchmaking T&C constitute a valid agreement concluded between Talent and TE Academy.
This Matchmaking services are considered as part of the Services within the Platform. Talent acknowledges that General Terms and Conditions fully apply to Matchmaking Services. In the event of any discrepancies between these Matchmaking T&C and General Terms and Conditions, the provisions of these Matchmaking T&C shall prevail.
Talent acknowledges to have read and fully understood the General Terms and Conditions and is bind by General Terms and Conditions in addition to these Matchmaking T&C when using the Services.
2.0 Definitions
Company means any legal person engaging TE Academy in rendering Services under this Agreement.
Talent means a natural person engaged in TE Fundamentals education program who opted for Talent recruitment options with TE Academy.
Services means connecting Companies and Talents in accordance with this Matchmaking T&C.
Job Opening shall mean shall mean a public call for applications with presented requirements necessary for a vacancy at a Company.
Position shall mean the role for which a Candidate is being presented to the Company.
3.0 Talent
TE Academy offers matchmaking services to Talents registered on TE Academy platform, accessible at: insert link.
By agreeing to these Matchmaking T&C Talent vouches to be of legal age and capable of concluding valid agreements regarding the Services.
To participate in the Service Talent shall submit an application via the Platform as communicated by TE Academy.
Talent shall provide all necessary information as provided for in the Job Opening. Talent shall provide accurate and complete information in order to be able to submit a valid Job Application.
By filling the Job Application the Talent acknowledges that TE Academy shall process the submitted Job Application and share the Job Application with the Company.
TE Academy reserves the right to review each Job Application and process only relevant Job Application. Te Academy reserves the right to decide whether a Job Application shall be considered as relevant for each Job Opening.
TE Academy shall communicate with Talent and promptly notify the Talent of the acceptance and/or rejection of the Job Application. TE Academy reserves the right to contact the Talent and request additional information and/or organise meetings with Talent and Company.
TE Academy shall not be obligated to accept a Job Application.
TE Academy shall not be obligated to verify the accuracy of the information provided by Talent, however TE Academy reserves the right to request additional information when it deems necessary in order to verify information provided by the Talent. TE Academy may request from the Talent to prove its identity.
4.0 Use of Services
TE Academy provides the Service solely for use in accordance with these Matchmaking T&C.
Talent may use the Services in accordance with terms and conditions set in General Terms and Conditions. The Services may be used solely for legitimate purpose and within the scope of matchmaking activities organised by TE Academy.
The Talent is prohibited from transferring his/her Student Account to third parties.
TE Academy shall connect Talent with Companies by providing Services. T
he Company shall provide a detailed description of the Position, and of a desired Candidate.
TE Academy shall publish Job Opening via the Platform and provide information on application process.
Talent shall be entitled to submit a Job Application for each Job Opening.
TE Academy shall submit Job Applications to the Company for review (hereinafter Introduction).
If Talent and Company had been introduced in the past twelve months before the Introduction directly or by a third party and Company does not inform TE academy about this within five business days in writing and substantive materials showing the introduction, the Talent is considered to have been introduced by TE Academy. Email or the Service are sufficient media in this matter. A Talent is considered to be already introduced directly or by a third party when there is a written communication concerning the Talent, with a clear identification of the Talent and the Company and with a clear identification of the opportunity to hire the Talent.
TE Academy undertakes reasonable efforts to match Talent and Companies, however, TE Academy does under no circumstances represent, assume a warranty or guarantee or undertake in any other way that Talent or Company will find a match through the Service.
5.0 Talent obligations
Talent shall submit the information about him/or herself as requested in the compulsory and voluntary fields of the sign-up form.
Te Academy may add compulsory or voluntary fields from time to time. The Talent shall not transmit any personal data of third parties (i.e. data allowing identification of an individual) to TE Academy.
TE Academy may also request additional information from Talent on a case by case basis.
TE academy shall communicate with the Talent via e-mail provided by the Talent in the Job Application.
The Talent shall inform TE Academy in writing within 5 business days if a Company gets in contact with the Talent outside of the provided Service while its profile is visible to Companies on the platform.
Talent undertakes to inform TE Academy in writing (through the service or via email is sufficient) as soon as possible, but no later than five business days, if he was hired or otherwise contracted by Company ( "Placement" ). TE Academy may contact Talent to request status updates about ongoing negotiations.
Placement shall mean any form of employment, temporary employment, contracting or other use of Talent by Company or an undertaking affiliated with Company in the sense of Sec. 15ff. of the German Stock Company Act.
Talent agrees that Companies are allowed to share all contract details with TE Academy.
Talent has to inform TE Academy in writing within five business days about any rehiring or similar by Company for a period of twelve months after termination.
Talent has to transmit the signed agreement to TE Academy as proof of the conclusion of the agreement and for the invoicing processes.
6.0 Warranties and limitation of liabilities
TE Academy grants the Talent access to the Service in its available form or version (on an "as is" basis).TE Academy offers matchmaking Services but it does not provide any guarantees to Talent to be introduced to any of the Companies (notwithstanding whether the Job Application has been submitted) nor does TE Academy guarantee placement at any of the Companies.
In addition to limitations of liabilities provided in General Terms & Conditions TE Academy limits its liability as provided below.
TE Academy does not accept any liability under or in relation to the Matchmaking T&C or its subject matter whether such liability arises due to negligence, breach of contract, misrepresentation or for any other reason for any indirect damage and consequential damage, in particular, not for loss of profit, interruption in business and/or interruption of operations of Talent, unless explicitly specified otherwise in these Matchmaking T&C. TE Academy shall be held liable or losses caused intentionally or with gross negligence.
7.0 Miscellaneous
Independence of Provisions. Should any provision of these Terms and Conditions (in whole or in part) be found to be unlawful, void or otherwise invalid, such provision shall be deemed to have been deleted (in whole or in part) and the remainder of these Terms and Conditions shall remain in full force and.
Full business capacity. The Student warrants that he/she has full capacity to assume the rights and obligations arising from these Terms and Conditions. You warrant that you do not require the consent or approval of any third party to perform your obligations under these Terms and Conditions or, to the extent that such approval is required, that you have such approval.
This Agreement supersedes any and all other agreements, oral or written, between the Parties with respect to the subject matter hereof, and no agreement, statement, or promise relating to the subject matter of this Agreement other than that which is contained herein shall be binding upon the Parties.
No amendment to this Agreement will be effective unless made in writing and executed by the Parties' respective authorized representatives.
All or any of TE Academy's rights and obligations under the Agreement may be assigned to a subsequent owner or operator of the Service in a merger, acquisition or sale of all or substantially all of TE Academy's assets.
General Terms & Conditions constitute an inherent part of this Matchmaking T&C. By agreeing to these Matchmaking T&C Talent acknowledges to abide by these Matchmaking T&C and General Terms & Conditions.
